Corporate Controller Unit Letters to Colorado Businesses

Every Colorado business is required to file a periodic report annually with the Colorado Secretary of State’s Office. The process is quite easy and can be accomplished in a few minutes on the Colorado Secretary of State’s web site (here: http://bit.ly/eNJzcA ). The fee is $10. Quite reasonable.

This morning, a colleague showed me a letter that she had received from an entity named Corporate Controller Unit. The letter has been sent to many Colorado businesses and offer to “help” them with filing the periodic report. The letter warns recipients that failure to file a periodic report could lead to a finding that the business is noncompliant or delinquent, and appear to be issued from a government agency. The words noncompliant and delinquent appear in all caps. As stated above, the Colorado Secretary of State assesses a $10 filing fee to file a periodic report. This fee is quite reasonable and has decreased over the years. In its letter to Colorado businesses, Corporate Controller Unit states that the annual fee is $225. While those who read the fine print at the bottom of the letter would likely become aware that Colorado Controller Unit is not a government agency, the letter does have an air of authority.
